Welcome to Checklist.

These Vendor Terms & Conditions ("Terms") govern your access to and use of the Checklist platform as a registered business, service provider, venue, professional, organization, or other commercial entity ("Vendor", "you", or "your"). By creating a Vendor account, submitting an application, creating a listing, or otherwise using the Checklist platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. About Checklist

Checklist is an online platform designed to help customers discover, connect with, and engage businesses across a range of categories, including but not limited to Weddings & Celebrations, Food & Dining, Selfcare & Beauty, Fitness, Sports & Wellness, Social Events & Experiences, and Travel. The platform may offer functionality such as business listings, customer inquiries, messaging, appointments, bookings, reservations, quotations, reviews, and promotional opportunities. Checklist operates solely as a technology platform facilitating connections between Vendors and customers. Checklist is not a party to any agreement, transaction, booking, reservation, quotation, or service arrangement entered into between a Vendor and a customer and assumes no responsibility for the performance of either party.

2. Vendor Eligibility and Registration

By registering as a Vendor, you represent and warrant that you are legally entitled to operate the business you are registering and that all information submitted to Checklist is accurate, complete, and up to date. You further represent that you possess all licences, permits, registrations, approvals, certifications, and other authorisations required to lawfully provide your products or services. Checklist reserves the right to request supporting documentation at any stage of the registration process or during the lifetime of your account. Submission of an application does not guarantee approval, and Checklist may accept, reject, suspend, or remove any Vendor account at its sole discretion.

3. Verification and Trust Standards

Checklist is committed to maintaining a trusted marketplace for both customers and Vendors. As part of this commitment, Checklist may conduct verification procedures before approving a Vendor listing or at any time thereafter. These procedures may include reviewing business registration documents, identification records, licences, certifications, online presence, customer feedback, and other relevant information. Any verification undertaken by Checklist is intended solely to support the integrity of the platform and should not be interpreted as an endorsement, recommendation, certification, or guarantee of a Vendor's services, products, or business practices.

4. Vendor Responsibilities

Vendors are solely responsible for the accuracy of the information published through their listings and for ensuring that such information remains current at all times. This includes business descriptions, services offered, pricing, packages, menus, availability, contact details, images, promotional materials, and any other information made available to customers. Vendors are expected to conduct themselves professionally when interacting with customers and to provide services in accordance with the representations made through their listings. Vendors remain solely responsible for all quotations, bookings, reservations, appointments, services, products, communications, and agreements entered into with customers.

5. Content and Intellectual Property

You retain ownership of the content that you submit to Checklist. However, by uploading, publishing, or otherwise making content available through the platform, you grant Checklist a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, publish, distribute, and promote such content for the purposes of operating, improving, and marketing the platform. You represent and warrant that you own or have obtained all necessary rights, permissions, and licences required to use and publish the content you submit. Checklist reserves the right to remove or modify content that it reasonably believes to be inaccurate, misleading, unlawful, infringing, offensive, or inconsistent with the standards of the platform.

6. Customer Inquiries, Bookings and Quotations

Checklist may facilitate inquiries, booking requests, appointment requests, reservation requests, quotation requests, and other communications between customers and Vendors. Vendors acknowledge that Checklist does not control, guarantee, or participate in any agreement subsequently entered into between a Vendor and a customer. Any contract, arrangement, quotation, booking, reservation, or transaction resulting from an introduction made through Checklist is solely between the Vendor and the customer. Vendors are solely responsible for fulfilling their obligations arising from such arrangements.

7. Reviews and Feedback

Customers may be permitted to submit ratings, reviews, testimonials, and feedback regarding their experiences with Vendors. Checklist reserves the right to publish, moderate, remove, or decline to publish reviews at its discretion. Vendors must not manipulate, fabricate, purchase, incentivise, or otherwise interfere with the integrity of the review system. Any attempt to mislead customers through false reviews or ratings may result in suspension or removal from the platform.

8. Subscription Plans and Promotional Services

Checklist may offer free or paid subscription plans, enhanced listing features, promotional placements, verification services, advertising opportunities, or other paid products. By purchasing such services, Vendors agree to pay all applicable fees and charges associated with the selected service. Unless otherwise stated, fees paid to Checklist are non-refundable. Checklist reserves the right to amend pricing, features, and service offerings from time to time, with any changes taking effect prospectively.

9. Prohibited Conduct

Vendors must not engage in any conduct that may compromise the integrity, security, reputation, or operation of the platform. This includes providing false information, impersonating another person or business, engaging in fraudulent activity, misusing customer information, infringing intellectual property rights, interfering with the operation of the platform, or violating applicable laws and regulations.

10. Suspension and Termination

Checklist reserves the right to suspend, restrict, or terminate access to the platform where a Vendor breaches these Terms, fails to satisfy verification requirements, receives repeated substantiated complaints, engages in fraudulent or deceptive conduct, or otherwise acts in a manner that may adversely affect customers or the reputation of Checklist. Where appropriate, Checklist may remove listings, revoke verification status, disable platform features, or permanently close a Vendor account.

11. Disclaimer and Limitation of Liability

The Checklist platform is provided on an "as is" and "as available" basis. While Checklist strives to maintain an accurate and reliable platform, it does not guarantee uninterrupted availability, customer inquiries, bookings, revenue, business growth, or the accuracy of information supplied by customers or third parties. To the fullest extent permitted by law, Checklist shall not be liable for any indirect, incidental, consequential, special, or economic loss arising from the use of the platform, including loss of revenue, loss of business opportunities, loss of goodwill, or disputes between Vendors and customers.

12. Amendments

Checklist may amend these Terms from time to time to reflect changes in law, business operations, platform functionality, or industry practices. Updated versions will be published on the platform and will take effect upon publication unless otherwise stated. Continued use of the platform following publication of revised Terms constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka. Any dispute arising from or relating to these Terms or the use of the Checklist platform shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
